Independent Contractor Agreement

Effective date: April 6, 2026

Legal Notice. This agreement addresses California's AB5 law and the ABC test for independent contractor classification. By creating a Provider account and accepting this Agreement, you enter into a binding independent contractor relationship with Drivify App LLC.

1. Definitions

"Platform" means the Drivify mobile application, website (drivifyapp.com), and all associated services, technology, and systems operated by Drivify.

"Provider" or "You" means an independent contractor who has been accepted and registered to offer Services through the Platform.

"Drivify," "We," "Us," "Our" means Drivify App LLC, a California limited liability company.

"Customer" or "User" means an end-user who books Services through the Platform.

"Services" means any automotive services Provider offers through the Platform, including but not limited to car washes, detailing, oil changes, tire rotations, and other maintenance services as listed in the Platform.

"Booking" means a Customer's request for Services through the Platform that Provider accepts or declines.

"Platform Fee" means the 15% commission fee Drivify retains from each completed Booking.

"Provider Earnings" means the 85% of Booking payment that accrues to Provider after the Platform Fee is deducted.

"Stripe Connect" means the third-party payment processing service used to handle Provider payments.

"Background Check" means the criminal history and background verification process required of all Providers.

"Founding Member" means a Provider selected during Drivify's initial launch phase who qualifies for the Founding Member Program as described in Section 7.

"Launch Campaign" means a time-limited promotional program funded by Drivify to seed the marketplace, as described in Section 7.

"Agreement" means this Provider Terms of Service and Independent Contractor Agreement, including all exhibits and policies incorporated by reference.

2. Eligibility Requirements

2.1 Basic Qualifications

To be eligible to register as a Provider, you must:

All prospective Providers must pass a background check before account activation. The background check will include criminal history screening, driving history review (for providers whose services involve driving), and sex offender registry check.

Drivify reserves the right to decline applications or deactivate accounts based on background check results. Certain criminal convictions, multiple traffic violations, or other high-risk factors may disqualify you. You will be notified if your application is declined.

2.3 Vehicle Requirements

Your vehicle must be registered and insured, pass a visual inspection (conducted in-app or in-person), be suitable for the specific Services you advertise, and maintain valid registration and insurance at all times while providing Services.

2.4 Insurance Requirement

You are responsible for obtaining and maintaining valid vehicle insurance covering liability and any business use (commercial auto insurance is highly recommended), and personal liability insurance or business insurance appropriate for your services. You must provide proof of active insurance before your account is activated and keep proof on file. Drivify does not provide insurance coverage for you or your vehicle.

2.5 Age Verification for Specific Services

For certain Services (e.g., tire installation, chemical handling), you may need to provide additional proof of certification or training. Drivify will specify these requirements during onboarding.

3. Independent Contractor Relationship

3.1 No Employment Relationship

You are an independent contractor, NOT an employee of Drivify. This is a core aspect of your relationship with Drivify.

This Agreement creates an independent contractor relationship governed by the applicable terms herein. You are not an employee, agent, partner, or joint venturer of Drivify. You do not have the right to:

This Agreement is structured to comply with California Labor Code Section 2750 et seq. (AB5) and the ABC test for independent contractor classification:

B. Scope of Work: The Services you provide are outside the usual course of Drivify's business operations. Drivify is a marketplace platform that connects Providers with Customers, not an automotive services company providing those services directly.

C. Independent Business: You have the ability to work as an independent business operator. Specifically:

3.3 Tax Obligations

As an independent contractor, you are responsible for calculating and paying all federal, state, and local income taxes; paying self-employment taxes (both employee and employer portions); maintaining business licenses or permits as required by your locality; keeping business records and receipts; and filing appropriate tax returns (1099 forms will be issued for tax reporting).

Drivify will not withhold taxes from your earnings. Consult with a tax professional about your obligations.

3.4 No Benefits

You are not eligible for any employee benefits, including health insurance, dental or vision insurance, retirement plans or 401(k) matching, paid time off, sick days, or vacation, workers' compensation, or unemployment insurance.

4. Account Registration & Verification

4.1 Registration Process

To create a Provider account: download the Drivify Provider App; provide your full legal name, email, and phone number; create a secure password; submit your government-issued photo ID; provide proof of vehicle registration and insurance; complete a background check authorization form; agree to this Terms of Service Agreement; and select the Services you wish to provide.

4.2 Document Requirements

During registration, you must provide:

All documents must be current and valid. Expired documents will result in account suspension until updated.

4.3 Verification & Approval

Drivify will review your application and documents within 3-5 business days. We may request additional information or documents, conduct a video verification call, request in-person vehicle inspection, or deny your application if eligibility requirements are not met.

4.4 Account Information

You are responsible for keeping all account information accurate and current, updating your contact information within 24 hours of any change, maintaining the security of your password, and notifying Drivify immediately of any account compromise or unauthorized access.

4.5 Right to Verify

Drivify reserves the right to request updated documents or photos at any time to verify ongoing compliance with eligibility requirements. Failure to provide requested documents within 7 days may result in account suspension.

5. Services & Bookings

5.1 Service Offerings

You may list any automotive services you're qualified to perform, including car washing, interior and exterior detailing, oil changes and fluid services, tire rotations and balancing, paintless dent repair, and other maintenance services as approved by Drivify.

You are responsible for ensuring all services comply with local regulations and that you have any required certifications or licenses.

5.2 Pricing

You set your own service prices. Prices should be clearly listed on your Provider profile, inclusive of all materials and labor (service-specific), consistent with competitive market rates in your service area, and not subject to Drivify price controls.

Drivify may provide suggested pricing guidance, but final pricing decisions are yours.

5.3 Service Area & Availability

You set your own service area and coverage zone (using GPS in the app), working hours and availability window, and number of simultaneous Bookings you'll accept. You may update these at any time in your Provider settings.

5.4 Booking Acceptance & Decline

When a Customer books your services, you receive a notification with booking details (date, time, location, service, price). You have 5 minutes to accept or decline. If you decline, the booking is offered to another Provider. Once accepted, you are committed to complete the service.

You may decline Bookings without penalty. However, patterns of frequent declines may affect your visibility on the Platform.

5.5 Real-Time GPS Tracking

Once you accept a Booking, your location will be tracked in real-time via GPS, the Customer will see your location and estimated arrival time, and GPS tracking continues until the service is marked complete. You consent to this tracking as a condition of providing services through the Platform.

5.6 Cancellation Policy

By Provider: You may cancel up to 10 minutes before your estimated arrival time without penalty. Cancellations after 10 minutes incur a $10 penalty deducted from that Booking's earnings. Multiple cancellations (more than 2 per week) may result in account deactivation.

By Customer: Customers may cancel up to 30 minutes before your estimated arrival time. Cancellations within 30 minutes may result in a customer fee, which goes entirely to you (Drivify takes no commission).

5.7 No-Show Policy

If you fail to arrive or respond to a Booking within 30 minutes of your estimated arrival time, the Booking is marked as "No-Show," you forfeit 50% of the Booking earnings, and repeated no-shows may result in account suspension or termination.

5.8 Service Completion

To complete a Booking, you must perform the service as described and to the quality standards outlined in Section 8, mark the service as complete in the app with photos (if applicable), and request Customer confirmation or provide proof of completion.

6. Payment Terms

6.1 Commission Structure

Drivify retains a 15% Platform Fee from each completed Booking payment. You receive 85% of the Booking price.

6.2 Payment Processing via Stripe Connect

Payments are processed through Stripe Connect. Drivify will facilitate payment collection from Customers. Payments are processed securely through Stripe's systems. You must provide valid banking information (checking or savings account) for direct deposit. Funds are deposited directly to your bank account on a fixed schedule.

6.3 Payout Schedule

Provider earnings are paid out every Friday at 5:00 PM PT for all completed Bookings from the previous Monday-Sunday. Payouts will only be issued if your earnings are $25 or more. Bank deposits typically appear within 1-2 business days (varies by bank).

Drivify reserves the right to adjust payout schedules with 30 days' notice.

6.4 Payment Holds & Disputes

Drivify may hold payments if there is an active dispute, suspected fraud, or a chargeback. Holds will be released once the issue is resolved.

6.5 Tips

Customers may add tips after service completion. Tips are entirely separate from the service price. Drivify takes no commission on tips — 100% goes to you. Tips are included in your regular payout schedule.

6.6 Refunds & Reversals

If a Customer receives a refund for a Booking due to service quality issues or cancellation, the refund amount is deducted from your earnings. If a Customer's credit card payment is reversed or disputed, the full Booking amount is deducted from your earnings, and any associated chargeback fees ($15-25) may also be deducted.

6.7 Taxes & Deductions

Payment issued to you does NOT include tax withholding — you are responsible for all taxes. Earnings will be reported to the IRS on Form 1099-K and Form 1099-NEC.

7. Founding Member Program

7.1 Program Overview

The Founding Member Program is Drivify's inaugural provider onboarding initiative. Drivify is hand-selecting the first 20 Providers per service category in the Los Angeles market to be designated as Founding Members. This is a one-time program that will not be repeated.

7.2 Founding Member Eligibility

To qualify as a Founding Member, you must:

Founding Members receive the following permanent benefits:

Top Placement (Permanent): Your profile appears higher in Customer search results within your service category. This placement is permanent and does not expire as long as your account remains active and in good standing.

Founding Member Badge (Permanent): A distinctive "Founding Member" badge is displayed on your Provider profile, visible to all Customers. This badge is permanent and cannot be purchased or earned by Providers who join after the launch phase.

Early Perks: Founding Members may receive additional benefits during the launch phase, including but not limited to priority customer support, early access to new features, and inclusion in Drivify marketing and promotional campaigns.

7.4 Launch Campaign (Separate from Founding Member Status)

During the launch phase, Drivify may run a Launch Campaign in which:

Important: The Launch Campaign is a separate, time-limited promotional initiative funded by Drivify's marketing budget. It is NOT a per-provider entitlement. The Launch Campaign ends when the allocated budget is spent or when Drivify determines the campaign has achieved its objectives, whichever comes first. The end of the Launch Campaign does not affect Founding Member status, badge, or top placement.

7.5 Platform Fee for Founding Members

Founding Members are subject to the standard 15% Platform Fee on all Bookings. There is no fee waiver, fee reduction, or free trial period associated with Founding Member status. During the Launch Campaign, jobs funded by Drivify are paid in full to Providers — the 15% fee is absorbed by Drivify for those specific campaign-funded jobs only.

7.6 Forfeiture of Founding Member Benefits

Founding Member benefits are forfeited if:

If Founding Member benefits are forfeited, your badge is removed, top placement reverts to standard algorithmic placement, and standard terms apply. Forfeiture is permanent and cannot be reversed.

7.7 What the Founding Member Program Is NOT

The Founding Member Program is not:

Founding Member status confers visibility and recognition benefits only. It does not alter the independent contractor relationship described in Section 3.

8. Provider Conduct & Standards

8.1 Quality Standards

You are expected to provide services that meet professional automotive industry standards, including attention to detail, professionalism, punctuality, cleanliness, safety, proper equipment, and thorough work ethic.

8.2 Customer Interaction

When interacting with Customers, you must communicate politely and professionally through the Platform, respond to messages within 5 minutes during active Bookings, maintain appropriate professional boundaries, and not request personal contact information or direct payment outside the Platform.

Prohibited conduct includes harassing, insulting, or discriminatory language or behavior, unwanted physical contact, soliciting tips or additional payments, and being under the influence of alcohol or drugs.

8.3 No Fraud or Misrepresentation

You must not claim false certifications or qualifications, misrepresent services offered, take payment outside the Platform, mark services as complete that were not fully performed, or use photos or credentials that are not your own. Any fraudulent activity will result in immediate account termination and possible legal action.

8.4 Compliance with Laws

You are responsible for obtaining all necessary business licenses and permits, complying with all local, state, and federal regulations, following environmental laws regarding fluid disposal and chemical handling, maintaining valid vehicle registration and insurance, and paying all self-employment taxes. Drivify is not responsible for your regulatory compliance.

8.5 Consequences of Conduct Violations

Violations may result in warning (first minor violation), service suspension (48 hours - 7 days for moderate violations), account deactivation (temporary suspension pending review), or account termination (permanent removal for serious violations).

9. Ratings & Reviews

9.1 Rating System

Customers rate Providers on a 1 to 5-star scale after each completed Booking. Your Provider profile displays your overall average star rating, total number of reviews, and recent customer comments.

9.2 Rating Impact

Below 4.0 Stars: Your profile visibility is reduced.

Below 3.5 Stars: Your profile is de-prioritized and you receive a performance improvement notice.

Below 3.0 Stars: Your account is subject to suspension with 7 days to improve.

9.3 Review Authenticity

You must not ask Customers for specific ratings, offer incentives for reviews, post fake reviews, or engage in fraudulent review practices. Manipulation of ratings will result in immediate account termination.

10. Insurance & Liability

10.1 Your Insurance Responsibility

You are responsible for obtaining and maintaining your own insurance. Drivify does not provide insurance coverage.

You must maintain:

10.2 No Drivify Coverage

Drivify does NOT provide medical coverage, vehicle damage coverage, property loss coverage, workers' compensation, or liability coverage for claims against you. You are solely responsible for these protections.

10.3 Indemnification

You agree to indemnify and hold harmless Drivify, its officers, employees, and agents from any claims, damages, or liability arising from your provision of Services, injuries or property damage caused by you or your equipment, violations of this Agreement or applicable laws, your negligence, willful misconduct, or fraud, and service-related disputes with Customers.

10.4 Accidents & Incidents

If an accident or incident occurs during or related to your Services, immediately notify the Customer and document details, take photos of any damage, report the incident to Drivify within 24 hours via the Platform, notify your insurance company, and cooperate with any investigation.

11. Intellectual Property

Drivify retains all rights to the Platform, including the mobile app, website, software, code, algorithms, databases, brand, logos, trademarks, and service marks.

You are granted a non-exclusive, non-transferable license to use the Platform solely to provide Services to Customers. You may not copy, modify, reverse-engineer, or sublicense the Platform.

When you upload photos, videos, or written descriptions to your Provider profile, you grant Drivify a perpetual, royalty-free, worldwide license to use this content for Platform operations and marketing.

12. Privacy & Data

12.1 Data Collection

Drivify collects and stores Provider data including account information (name, email, phone, address, ID, banking details), vehicle information (registration, insurance, photos), location data (real-time GPS during Bookings), service history (all Bookings, Customer interactions, ratings, earnings), background check results, and photos.

12.2 GPS Tracking

You consent to real-time GPS tracking when you have an active Booking and are en route to a Customer, are actively providing a service, or have Location Services enabled in the Provider app.

12.3 SMS and Text Message Communications

By providing your phone number and creating a Provider account, you consent to receive SMS and text messages from Drivify, including:

You may opt out of promotional text messages at any time by replying STOP. For help, reply HELP or contact support@drivifyapp.com. You may not opt out of transactional and operational messages while your account is active. Standard message and data rates from your wireless carrier may apply.

12.4 AI-Powered Outreach

If you were initially contacted by Drivify through an AI-powered phone call, the following applies:

12.5 Data Sharing

We do not sell your personal information. We share data with Stripe Connect (payment processing), background check providers (identity verification), tax authorities (1099 reporting), law enforcement (if legally required), communication service providers (SMS delivery via Twilio, AI calling via ElevenLabs), and third-party vendors assisting with Platform operations.

12.6 Data Retention

Active account data is retained indefinitely while your account is active. After deactivation, data is retained for 3 years for legal, tax, and fraud prevention purposes. GPS/location data is deleted after 1 year. Tax records are retained 7 years for IRS purposes.

12.7 Full Privacy Policy

13. Termination

13.1 Termination at Will

Either party may terminate this Agreement at any time without cause by providing written notice.

By You: Submit termination request through Provider settings or email support@drivifyapp.com. Your account will be deactivated within 24 hours.

By Drivify: Drivify may deactivate your account by email notification. Termination is effective immediately upon notice.

13.2 Termination for Cause

Drivify may immediately terminate your account without prior warning for policy violations (multiple no-shows, fraud, misrepresentation, harassment, operating without insurance, providing services while impaired), safety and conduct issues (criminal activity, substance abuse, violence or threats), fraud and illegal activity (taking payment outside the Platform, falsifying records), or sustained performance issues (rating below 3.0 despite warnings, sustained complaint rate above 10%).

13.3 Final Payment

Upon termination, you will receive a final payout for all completed Bookings within 30 days. If your account is terminated for fraudulent activity, Drivify may withhold payment pending resolution.

13.4 Surviving Obligations

Sections 10, 11, 12, 14, 15, and 17 survive termination.

14. Dispute Resolution

14.1 Informal Resolution

If you have a dispute with Drivify, first contact support@drivifyapp.com. Drivify will investigate within 7 business days and provide a decision or proposed resolution.

14.2 Binding Arbitration

If informal resolution does not resolve your dispute, you agree to binding arbitration instead of court proceedings. Arbitration will be conducted through JAMS (Judicial Arbitration and Mediation Services) in Los Angeles County, California.

14.3 Class Action Waiver

YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATIONS. Each dispute is handled individually.

14.4 Governing Law

This Agreement is governed by the laws of the State of California without regard to conflict of law principles.

14.5 Jury Trial Waiver

YOU WAIVE YOUR RIGHT TO A JURY TRIAL. If any part of the arbitration clause is found unenforceable and the dispute proceeds in court, you waive the right to a jury trial.

15. Limitation of Liability

15.1 Disclaimer of Warranties

THE DRIVIFY PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

15.2 Cap on Liability

Drivify's total liability to you is limited to the greater of the total Platform Fees you paid in the 12 months prior to the claim, or $500.

15.3 No Liability for Indirect Damages

Drivify is NOT liable for lost profits or earnings, loss of data or business, reputational harm, emotional distress, or consequential, incidental, special, or punitive damages, even if Drivify was aware of the possibility of such damages.

16. Modifications to Terms

Drivify may modify this Agreement at any time. You will receive email notification at least 30 days before changes take effect. If you do not accept, you may request account deactivation. Continued use after 30 days constitutes acceptance.

17. Miscellaneous

Entire Agreement. This Agreement, including all linked policies and addendums, constitutes the entire agreement between you and Drivify regarding the use of the Platform.

Severability. If any part of this Agreement is found unenforceable, that provision is severed and all remaining provisions remain in full effect.

Waiver. Drivify's failure to enforce any provision does not constitute a waiver of that provision.

Assignment. You may not assign this Agreement. Drivify may assign without restriction.

Independent Relationship. This Agreement does not create a partnership, joint venture, agency, or employment relationship.

Force Majeure. Neither party is liable for failure to perform due to events beyond its control (natural disasters, war, pandemics, government action).

Notices. All notices to Drivify should be sent to support@drivifyapp.com. Notices to you will be sent to the email or phone number on file.

18. Acknowledgment & Consent

By accepting this Agreement, you acknowledge and agree that:

  1. You have read and understood this entire Agreement
  2. You are an independent contractor, not an employee
  3. You are responsible for your own insurance, taxes, and business compliance
  4. You have provided all information truthfully and accurately
  5. You will comply with all applicable laws and this Agreement
  6. You understand the fee structure (15% Platform Fee, 85% to you)
  7. You consent to GPS tracking during active Bookings
  8. You consent to receiving SMS and text messages from Drivify
  9. You understand dispute resolution is through arbitration, not court
  10. You waive the right to a jury trial
  11. Drivify's liability is limited as described in Section 15
  12. The Founding Member Program provides placement and badge benefits only — there is no fee waiver, free trial, or guaranteed income
